- Key Responsibilities:
- Lead and coordinate the legal workstream of domestic and cross-border M&A transactions, including acquisitions, divestments, joint ventures and other strategic investments, working closely with internal stakeholders and external advisors
- Master of Law degree and Swiss Bar admission
- Minimum of 5+ years of relevant post-qualification experience, ideally gained in a leading law firm and/or the legal department of an international industrial company
Main responsibilities
- Key Responsibilities:
- Lead and coordinate the legal workstream of domestic and cross-border M&A transactions, including acquisitions, divestments, joint ventures and other strategic investments, working closely with internal stakeholders and external advisors
- Draft, review and negotiate a broad range of complex commercial agreements, including, joint venture arrangements, technology agreements, sales terms and conditions, and procurement and supply contracts
- Advise on financing transactions, including bond issuances, syndicated and bilateral credit facilities, and provide legal support to the Treasury function on a wide range of financing-related matters
- Oversee and coordinate litigation, arbitration and other dispute resolution matters across the Group, including the management of external counsel
- Oversee the preparation and execution of Annual General Meetings and contribute to the legal review of the Company's Annual Report and Non-Financial Report
- Support the Head Group Legal / Corporate Secretary in matters relating to the Board of Directors, its committees and the Executive Committee
Key requirements
- Master of Law degree and Swiss Bar admission
- Minimum of 5+ years of relevant post-qualification experience, ideally gained in a leading law firm and/or the legal department of an international industrial company
- Demonstrated experience in M&A and Swiss corporate law, ideally complemented by exposure to antitrust and sanction law as well as capital markets and stock exchange regulations
- Business-oriented legal professional with strong judgment, a pragmatic mindset and the ability to balance legal risks with commercial objectives
- Excellent project and stakeholder management skills, with experience interacting confidently with senior executives, Board members and key external stakeholders
