Senior Legal Counsel

Description

We are looking for a Senior Legal Counsel for our Legal Team in Basel. In this role, you will advise the company on demanding national and international legal issues and assume responsibility for complex M&A transactions, international contract negotiations and strategic projects. You will work closely with General Counsel, the management and our international subsidiaries and make an important contribution to the legal protection and further development of the Medartis Group.

Tasks

• Self-responsible management and legal supervision of M&A transactions – from the "Diligence" to the "Post-Merger integration" – preparation, examination and negotiation of international contracts as well as further development of global contract standards – Legal advice of the "Hauptstadt" and the international subsidiaries on corporate, contractual and economic law issues – Support of the General Counsel in the areas of corporate governance – Cooperation in strategic and cross-sectoral projects and representation of the General Counsel if necessary -

Self-employed legal support, administrative procedures and management of external legal advisers worldwide - support and advice of the organization on data protection Conception and implementation of training courses on compliance, data protection, intra-Community trade and other legal issues

Requirements

• Graduated from a Swiss university of law (Master of Law/Lizentiat); Swiss attorney's patent and/or LL.M.

• At least 5–8 years of relevant professional experience as an in-house legal Counsel in an international company, ideally in the medical technology, pharmaceutical or life science industry; experience in a listed company of advantage
• Well-founded experience in the independent execution of M&A transactions and in the negotiation of international contracts
• Very good knowledge in Swiss company and capital market law
• entrepreneurial thinking, pragmatic and solution-oriented working methods and pronounced analytical understanding
• Sovereign

The ability to work with executive management, board of directors and international stakeholders at eye level - self-employed, structured and responsible working methods with high resilience - Negotiation-proof German, English and French skills in word and writing in an international environment; further language skills are beneficial.
